Company and Corporation Incorporation in Costa Rica

Company Formation in Costa Rica | Corporate Legal Counsel

Forming a company in Costa Rica requires more than filing incorporation documents. The legal structure should reflect the intended business or investment, the ownership arrangements, management responsibilities, and long-term objectives.

AristaLegal advises Costa Rican and international clients from the initial choice of entity through National Registry filing and the coordination of key post-incorporation matters.

Choosing the Right Company Structure

Two of the most common corporate forms are the Sociedad Anónima (S.A.) and the Sociedad de Responsabilidad Limitada (S.R.L.). Both generally provide limited-liability frameworks, subject to statutory exceptions, but they differ in governance, ownership interests, and transfer rules.

Sociedad de Responsabilidad Limitada (S.R.L.)

An S.R.L. is owned through membership quotas and may be managed by one or more managers. Transfers of quotas to third parties are subject to specific rules. This structure is often considered for closely held businesses, family ventures, and certain asset-holding arrangements.

Sociedad Anónima (S.A.)

An S.A. has share capital and a board-based governance structure established under Costa Rican law. It may suit ventures anticipating future investment, a more formal corporate organization, or particular shareholding arrangements.

Company Formation for Foreign Owners

Foreign individuals and companies may participate in Costa Rican corporations without being required to appoint a Costa Rican shareholder solely because of foreign nationality. Identity, authority to act, and the incorporation requirements of the selected entity must still be satisfied.

For clients located abroad, AristaLegal can assess appropriate powers of attorney and remote coordination options, depending on the transaction and the required formalities.

Corporate Identification and Trade Names

Under Law No. 10729, newly formed S.A. and S.R.L. entities governed by the general rules are identified for registration purposes by the corporate identification number assigned by the National Registry, together with the corresponding entity designation. Business names and trademarks are separate matters that may require their own registration and protection strategy.

Our Incorporation Process

  • Review the business, asset-holding or investment purpose.
  • Select the entity and define ownership, capital and participation arrangements.
  • Establish governance and legal representation.
  • Prepare the incorporation deed and coordinate execution before a notary.
  • File and follow the incorporation with the National Registry.
  • Organize corporate documentation and explain post-incorporation requirements.

After Incorporation: Compliance and Operational Readiness

Registration does not automatically authorize a company to carry on every business activity. Depending on its circumstances, the company may need tax registration through the RUT and the TRIBU-CR Virtual Office (OVi), beneficial ownership reporting, annual corporate tax compliance, corporate books, electronic invoicing, municipal licensing, and employment-related registrations.

We distinguish incorporation services from the additional steps needed to make a company operational and compliant with its activities.

Why AristaLegal

Our focus is to establish a structure that serves the client’s actual goals, rather than providing a generic incorporation package. We explain governance, signing authority, ongoing obligations, and legal risks. When relevant, we also coordinate related real estate, contractual, trademark, power-of-attorney, and immigration matters.

Frequently Asked Questions

What is a legal representative?

A legal representative may bind the company within the authority granted by its corporate documents and registered powers. In an S.R.L., this role is generally held by a manager; in an S.A., representation depends on the corporate structure and appointed officers.

Can a foreign national serve as legal representative?

Yes. Foreign nationality alone does not prevent appointment. The representative must have properly conferred authority and comply with any applicable administrative requirements.

Do I need a Costa Rican partner?

Not merely because you are a foreign investor. Applicable founder, corporate officer, and entity-specific legal requirements must nevertheless be met.

Can I incorporate with only one initial shareholder?

Initial incorporation requirements should not be confused with a later concentration of ownership. The applicable formation formalities must be reviewed for each entity type.

Do I need to travel to Costa Rica?

Not in every case. We can evaluate powers of attorney and lawful remote coordination options based on the structure and documents involved.

How long does incorporation take?

Timing depends on document readiness, the chosen structure, and National Registry review. We provide a case-specific estimate after evaluating the proposed incorporation.

What documents does a foreign founder need?

Usually valid identification and corporate particulars are required. If a foreign company is participating, documents proving its existence and representation may require legalization or apostille.

Can the company own real estate or vehicles?

Yes. Whether corporate ownership is advisable depends on the asset, intended transaction, and legal and tax consequences.

Can the company open a bank account?

It may apply for a bank account, but account approval depends on the institution’s due diligence, beneficial ownership checks, and source-of-funds policies.

Is a Costa Rican S.R.L. the same as a U.S. LLC?

No. Although they may share practical features, they arise under different legal and tax systems. Foreign tax treatment requires advice in the relevant jurisdiction.

Does an inactive company have ongoing obligations?

Yes. Inactive status does not automatically eliminate tax or corporate filing responsibilities.

Will a municipal business license be required?

That depends on the activity, premises, and relevant municipality. Licensing should be considered before operations begin.

Can AristaLegal assist after incorporation?

Yes. Depending on the engagement, we can help with corporate records, tax and administrative registrations, licenses, and coordination with accounting and banking professionals.
